End User License Agreement

Please read this End User License Agreement carefully before using Schedule 1 Game.

1. AGREEMENT TO TERMS

This End User License Agreement ("EULA") is a legal agreement between you and Schedule 1 Game Studios ("we," "us," "our") regarding your use of Schedule 1 Game and any related software, documentation, and services (collectively, the "Game").

By downloading, installing, accessing, or using the Game, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not download, install, access, or use the Game.

2. LICENSE GRANT

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Game for your personal, non-commercial entertainment purposes on a device that you own or control.

3. RESTRICTIONS

You agree not to, and will not permit others to:

  • Copy, modify, adapt, translate, create derivative works from, distribute, publicly display, publicly perform, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Game, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation
  • Use the Game for any commercial purpose, including but not limited to (a) selling, renting, or leasing the Game, (b) using the Game to provide services to others, or (c) using the Game for the purpose of advertising, marketing, or promoting products or services
  • Remove, alter, or obscure any proprietary notice or identification, including copyright, trademark, patent, or other notices, contained in or displayed on or via the Game
  • Circumvent, disable, or otherwise interfere with security-related features of the Game, including features that prevent or restrict the use or copying of any content
  • Use the Game to violate any applicable law, rule, or regulation, or to infringe or violate the rights of any third party, including but not limited to any intellectual property, privacy, or publicity rights
  • Use, export, or re-export the Game in violation of applicable export laws or regulations
  • Use the Game to develop, generate, transmit, or store information that is harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or otherwise objectionable or that violates the rights of others or public morality
  • Use the Game to develop, generate, transmit, or store information that violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right

4. OWNERSHIP

The Game is licensed, not sold, to you. We retain all right, title, and interest in and to the Game, including all intellectual property rights therein. The Game is protected by copyright, trademark, and other laws of the United States and foreign countries. All trademarks, service marks, trade names, trade dress, product names, and logos appearing in the Game are the property of their respective owners. You do not acquire any ownership interest in the Game or any other rights thereto other than to use the Game in accordance with the license granted, and subject to all terms, conditions, and restrictions, under this EULA.

5. USER CONTENT

The Game may allow you to create, upload, post, send, receive, and store content ("User Content"). You retain all rights in, and are solely responsible for, the User Content you create, upload, post, send, receive, or store.

By creating, uploading, posting, sending, receiving, or storing User Content, you grant us a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to use, copy, modify, adapt, distribute, prepare derivative works of, display, perform, and otherwise fully exploit your User Content in connection with the Game and our business, including without limitation for promoting and redistributing part or all of the Game (and derivative works thereof) in any media formats and through any media channels.

6. UPDATES

We may from time to time in our sole discretion develop and provide Game updates, which may include upgrades, bug fixes, patches, other error corrections, and/or new features (collectively, "Updates"). Updates may also modify or delete in their entirety certain features and functionality. You agree that we have no obligation to provide any Updates or to continue to provide or enable any particular features or functionality.

7. THIRD-PARTY MATERIALS

The Game may display, include, or make available third-party content (including data, information, applications, and other products, services, and/or materials) or provide links to third-party websites or services (collectively, "Third-Party Materials"). You acknowledge and agree that we are not responsible for Third-Party Materials, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality, or any other aspect thereof. We do not assume and will not have any liability or responsibility to you or any other person or entity for any Third-Party Materials.

8. TERM AND TERMINATION

This EULA will remain in effect until terminated by you or us. You may terminate this EULA at any time by permanently deleting the Game from your device. We may terminate this EULA at any time without notice if you fail to comply with any term of this EULA. Upon termination, you must cease all use of the Game and delete all copies of the Game from your device.

9. DISCLAIMER OF WARRANTIES

THE GAME IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE GAME WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, OR THAT ANY ERRORS OR DEFECTS WILL BE CORRECTED.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE GAME; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE GAME; (C) ANY CONTENT OBTAINED FROM THE GAME; AND (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless us and our officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, arising from or relating to (a) your use or misuse of the Game; (b) your breach of this EULA; (c) your violation of applicable laws or regulations; (d) your User Content; or (e) your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right.

12. GOVERNING LAW AND JURISDICTION

This EULA is governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or related to this EULA or the Game shall be instituted exclusively in the federal courts of the United States or the courts of the State of California in each case located in San Francisco County. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

13. MISCELLANEOUS

This EULA constitutes the entire agreement between you and us regarding your use of the Game. Our failure to exercise or enforce any right or provision of this EULA shall not operate as a waiver of such right or provision. If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions of this EULA will remain in full force and effect. We may assign this EULA, in whole or in part, at any time without notice to you. You may not assign this EULA or transfer any rights to use the Game.

14. CHANGES TO THIS EULA

We reserve the right, at our sole discretion, to modify or replace this EULA at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Game after any revisions become effective, you agree to be bound by the revised EULA.
